READ BEFORE INSTALLING

Do not install or use the Software and any delivered 
materials until you have fully agreed to the terms and 
conditions of this license. If you install and use the
Software you completely agree to all the terms and 
conditions of this license agreement.  If you do NOT 
wish to agree with these terms and conditions DO NOT 
install and use any part of the Software.

DEFINITION - "Software" implies all the associated files 
included with the entire setup program for VirtualSmartAgent, 
which includes all images, database files, php files, 
javascript files, html files, and all other associated
files delivered.


LICENSE

o COPYRIGHT
  You cannot resell this software in any way shape or form
  unless a resale rights license was delivered with this
  software.

o UNLIMITED DOMAIN INSTALLATIONS
  Along with the software you are allowed to install this
  software on as many websites as you like. Please refer
  to the help section to learn how to place agents on 
  multiple websites from one central installation.

o CODE MODIFICATIONS
  You, the license owner, has the full permission to alter
  the source code to your liking with the following 
  restrictions:
  - You cannot remove any references to our company including
    web links and emails.
  - You cannot resell this software in any way shape or form
    unless a resale rights license was delivered with this
    software.
  - You can not rent, lease, lend, transfer, or distribute 
    your purchased Software to any third party.
  - You may not use the Software to perform any unauthorized 
    transfer of information, such as copying or transferring 
    a file in violation of a copyright, or for any illegal 
    purpose.
  - The software contains third party licensed components as
    specified in each corresponding component. Refer to the
    third party files to see the corresponding licensing 
    agreement.

o INTELLECTUAL PROPERTY:
  You acknowledge that you have only the limited, non-exclusive 
  right to use and copy the Software as stated in this license 
  and that InnAnTech Industries retains all titles to the Software 
  and all other rights not expressly granted. You agree not to 
  remove or modify any copyright, trademark, patent or other
  proprietary notices that appear, on, in or with the Software.  
  The Software is protected by Canadian copyright, patent and 
  trademark laws and international treaty provision.  InnAnTech
  Industries may make modifications, changes or updated revisions 
  to the Software, or any associated components, at any time 
  without notice, but is not obligated to support or update the 
  Software.

o SHIPPED MEDIA WARRANTY:
  If you received the Software by InnAnTech Industries on a physical
  media, InnAnTech Industries warrants the media to be defect free 
  from any material physical defects for a period of (90) ninety 
  days after delivery by InnAnTech Industries.  If the implied
  defect has occurred, return the defected media to InnAnTech 
  Industries for replacement or alternative method of delivery 
  chosen by InnAnTech Industries. 

o NO WARRANTIES:
  To the extent permitted by applicable law, the Software and 
  any support services are provided "as is" without warranty of
  any kind, either expressed or implied, including, without 
  limitation, the implied warranties of merchantability, fitness
  for a particular purpose, or non-infringement.  The software 
  may not be error free due to programming complexity.  The 
  software is provided with all faults and the entire risk as 
  to satisfaction quality, performance, accuracy and effort is
  with you.

o LIMITATION OF LIABILITY:
  IN NO EVENT WILL InnAnTech Industries OR ITS SUPPLIERS BE 
  LIABLE TO YOU FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, 
  PUNITIVE OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR 
  LOST SAVINGS, EVEN IF A REPRESENTATIVE OF InnAnTech Industries 
  OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH 
  DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. SOME STATES OR 
  JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
  INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS 
  MAY NOT APPLY TO YOU.  YOU MAY ALSO HAVE OTHER LEGAL RIGHTS 
  THAT VARY FROM JURISDICTION TO JURISDICTION. 

o TERMINATION OF THIS AGREEMENT:
  InnAnTech Industries may terminate this Agreement at any 
  time if you violate any of its terms and conditions.  Upon 
  termination, you will immediately destroy the Software or 
  return all copies of the Software to InnAnTech Industries.

o EXPORTING RESTRICTIONS:
  Claims arising under this Agreement shall be governed by the 
  laws of British Columbia, excluding its principles of conflict 
  of laws and the United Nations Convention on Contracts for the 
  Sale of Goods. You may not export the Software in violation of 
  applicable export laws and regulations.  InnAnTech Industries 
  is not obligated under any other agreements unless they are 
  in writing and signed by an authorized representative of 
  InnAnTech Industries.

o GOVERNMENT RESTRICTED RIGHTS:
  The Software is provided with "RESTRICTED RIGHTS." Use, 
  duplication, or disclosure by the Government is subject to 
  restrictions as set forth in FAR52.227-14 and DFAR252.227-7013 
  et seq. or its successor. Use of the Software by the Government 
  constitutes acknowledgment of InnAnTech Industries' proprietary
